Terms of service

These terms apply to design services provided by Vkomak Design Hub, a division of Vkomak Technologies. A signed proposal or written scope, where one exists, takes precedence over anything here.

Scope and quotations

Every engagement begins with a written scope listing deliverables, timeline and fee. The quoted price holds for that scope. If the scope changes — additional deliverables, a new direction after approval, extra SKUs or pages — we will quote the difference in writing and wait for your agreement before proceeding.

Quotations are valid for thirty days from issue unless stated otherwise.

Payment

• Project work: fifty per cent to commence, fifty per cent on delivery.
• Retainers: billed monthly in advance.
• Invoices are payable within fourteen days of issue.
• Prices exclude applicable taxes, which are added at the prevailing rate.
• International clients are invoiced in USD; Indian clients in INR.

Final files and ownership transfer on receipt of full payment. We may pause work on overdue accounts after written notice.

Revisions

We do not count revisions. Once you select a direction, we refine it until it is right. This is offered in good faith and assumes feedback is consolidated into one response per round and stays within the agreed scope.

Requests to abandon an approved direction and start again from a different concept are a change of scope, not a revision, and will be quoted separately.

Ownership and intellectual property

On receipt of full payment, all intellectual property in the final delivered work transfers to you, together with editable source files. There are no ongoing licence fees and no restrictions on how you use the work.

Concepts that were presented but not selected remain our property. Third-party assets — licensed fonts, stock photography, purchased illustrations — are supplied under their own licences, which we will identify; you are responsible for maintaining any licence that requires renewal.

We retain the right to display completed work in our portfolio and marketing, unless you tell us the project is confidential. Tell us at any point and we will remove it.

Your responsibilities

• Provide accurate briefs, content and assets in a usable form
• Nominate one person able to give final approval
• Respond to review requests within the agreed timeframe
• Confirm that material you supply to us does not infringe anyone else’s rights

Timelines assume timely feedback. Delays in approval move the delivery date correspondingly.

AI-assisted work

We use AI tools for exploration, drafting and mechanical adaptation, and we say so openly. Every deliverable is reviewed, edited or redrawn by a designer before delivery, and logos are always produced as hand-built vector artwork.

We run reverse image and trademark database checks on shortlisted concepts as a matter of diligence. This is not legal clearance. For enforceable protection we recommend a formal trademark search through a qualified attorney in your jurisdiction, and we will gladly brief them.

Confidentiality

We treat your business information as confidential and will sign a non-disclosure agreement on request. We expect the same regarding our proposals, pricing and unselected concepts.

Cancellation

Either party may end an engagement in writing. You are liable for work completed to that point, itemised honestly. Our refund position is set out in the refund policy.

Limitation of liability

We deliver work to a professional standard and correct genuine errors on our part at no charge. Our total liability for any claim is limited to the fees paid for the engagement giving rise to it. We are not liable for indirect or consequential losses, including lost profits or business interruption.

We do not warrant any particular commercial outcome. Design influences results; it does not determine them.

Governing law

These terms are governed by the laws of India, and the courts of Chennai, Tamil Nadu have exclusive jurisdiction.
